These terms govern your access to and use of Elastly. They're written to be readable, but they are a binding agreement. Enterprise customers may instead be covered by a separately signed master services agreement, which takes precedence where it conflicts with these terms.
1. Agreement to terms
By accessing or using Elastly, you agree to these Terms of Service and our Privacy Policy. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization. If you don't agree, don't use the service.
2. The service
Elastly provides AI-driven pricing recommendations, monitoring, and automation. Recommendations are decision support, not financial or legal advice. You are responsible for the prices you publish and for compliance with laws that apply to your business, including competition and consumer-protection law.
3. Accounts
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 and able to form a binding contract to use Elastly.
4. Acceptable use
You agree not to misuse the service. In particular, you will not:
- Use it to facilitate unlawful price-fixing, collusion, or other anti-competitive conduct.
- Reverse-engineer, resell, or copy the service except as permitted by law.
- Upload data you don't have the right to use, or that infringes others' rights.
- Interfere with the integrity or security of the service.
5. Subscriptions & billing
Paid plans are billed in advance on a monthly or annual basis and renew automatically unless cancelled before the renewal date. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice, effective at your next renewal.
6. Customer data
You retain all rights to the data you provide. You grant us a limited license to process it solely to provide and improve the service for you. We process personal data as described in our Privacy Policy, and we never use one customer's data to benefit another.
7. Intellectual property
Elastly and its software, models, and brand are owned by us and protected by intellectual-property law. These terms grant you a limited, non-exclusive, non-transferable right to use the service. We may use aggregated, de-identified data that cannot reasonably identify you to operate and improve our models.
8. Warranties & disclaimers
We provide the service with reasonable skill and care and maintain the security practices described in our documentation. Otherwise, the service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that recommendations will achieve any particular financial result.
9. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party's total liability arising from these terms is limited to the fees you paid in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
10. Termination
You may stop using the service at any time. We may suspend or terminate access if you materially breach these terms or use the service in a way that creates legal or security risk. On termination, your right to use the service ends and we will delete or return your data as described in our Privacy Policy.
11. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and the courts located there will have exclusive jurisdiction — unless a signed agreement between us specifies otherwise.
